Terms of Service

What you can expect from us, and what we ask of you. Written in plain English so you can actually read it.

The deal, in one paragraph

Credbase is an online service for keeping third-party business documents on record and up to date. When you sign up, use the service or accept an invite into a workspace, you agree to these terms. They are a contract between you and Aplera Labs Ltd, a company registered in Scotland (SC878012). If you are using Credbase for an organisation, you confirm you are allowed to accept these terms for that organisation.

Your account

Keep your login details safe and don't share them. You are responsible for what happens under your account, including anything your workspace members do. Tell us straight away at security@credbase.app if you think an account has been compromised.

You need to be old enough to enter into a contract in your country (usually 18 in the UK). Credbase is a business tool and is not intended for children.

Acceptable use

Please don't do things that would obviously break Credbase or hurt other people. In particular, don't:

  • Upload anything unlawful, malicious, infringing or that you don't have the right to share.
  • Try to break, probe or overload the service or bypass access controls.
  • Scrape or reverse-engineer the product, or resell it as your own.
  • Use Credbase to send spam or unsolicited messages.
  • Store special-category personal data (health, biometrics, criminal records, etc.) where a general-purpose document tool isn't appropriate.

Your content stays yours

You keep all rights in the documents and data you upload. You grant us a limited licence to host, process and display that content for the sole purpose of running the service for you, including sending it to a vetted AI provider so we can generate suggestions your team then approves.

You confirm you have the right to upload what you upload, and to ask your recipients to upload what you ask them for.

AI outputs are suggestions

Credbase uses AI to help you organise documents faster, suggesting document types, expiry dates and similar. These outputs are suggestions only. AI can be wrong. You are responsible for reviewing and approving anything before you rely on it, and for verifying documents with the actual issuer where accuracy matters.

We do not warrant that AI outputs are accurate, complete or fit for a particular decision. Do not treat Credbase or its AI features as legal, tax, compliance, insurance or professional advice.

In short: Credbase helps you keep track. It does not certify the documents themselves. Always cross-check anything critical.

Our service

We work hard to keep Credbase available and useful. We may improve, change or remove features from time to time. If we remove something material that you paid for, we will give you reasonable notice.

We aren't providing a specific service level here. If you need one, contact us and we can talk about a bespoke agreement.

Fees and free plans

Paid plans and their prices are shown on our pricing page. Fees are billed in advance and are non-refundable except where required by law or under our Core monthly guarantee. If you subscribe to Core on a monthly plan and it is not right for you within the first 30 days, email hello@credbase.app from the address on your account and we will refund your first monthly payment in full. The guarantee applies to the first payment on a new Core monthly subscription only - it does not apply to Core annual, to Team or to monthly renewals after the first month. If we change prices, we will let you know before it affects your renewal.

Free plans are provided as-is, on a best-efforts basis. We may change or remove free plan features at any time.

Suspension and termination

You can close your account at any time from the settings screen. We can suspend or close an account (with or without notice) if it seriously breaks these terms, puts other users or the service at risk or if we are legally required to.

When an account is closed, we will delete or return your data in line with the Privacy Policy and Data Processing Agreement.

Warranties

We provide Credbase on an "as is" and "as available" basis. To the maximum extent allowed by law, we don't make any implied warranties, including of merchantability, fitness for a particular purpose or non-infringement.

Nothing in these terms limits any rights you have as a consumer that cannot legally be excluded.

Liability

To the maximum extent permitted by law, neither party is liable for any indirect, special, incidental, consequential, punitive or exemplary losses or for any loss of profits, revenue, business, contracts, anticipated savings, data, goodwill or reputation, however arising and even if we were told those losses were possible.

Subject to the paragraph below, our total aggregate liability to you under or in connection with these terms, however arising (including negligence and breach of statutory duty), is limited to the fees you actually paid us for Credbase in the 12 months immediately before the event that gave rise to the claim.

If you use Credbase on a free plan or you had not paid us any fees in that 12-month period, our total aggregate liability to you is limited to zero.

We are not liable for changes made by third parties to their systems (for example, email providers, authenticators, search engines or AI systems) or for how those third parties handle information you share with them.

Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, including liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation and (c) any other liability that cannot be limited or excluded under English law.

Plain English: on a free plan or when you have not paid us, our liability is zero. On a paid plan, the most we can be asked to pay is what you actually paid us in the 12 months before the issue. This is standard for UK SaaS.

Your indemnity

You agree to defend, indemnify and hold Aplera Labs Ltd harmless from third-party claims arising out of (a) content you upload or ask others to upload, (b) your use of Credbase in breach of these terms or (c) your violation of any law or third-party right.

Changes to these terms

We may update these terms from time to time. If a change is material, we will give you reasonable notice by email or in the app before it takes effect. If you keep using Credbase after that, you accept the new version.

Governing law and disputes

These terms are governed by the laws of Scotland. Disputes are subject to the exclusive jurisdiction of the courts of Scotland, unless you are a consumer and the law of your country of residence gives you a right you cannot waive.

Before starting a formal claim, please email support@credbase.app so we can try to sort it out directly. We usually can.

The usual small print

If any part of these terms is unenforceable, the rest still applies. Our failure to enforce a right isn't a waiver of it. You can't transfer these terms without our written consent; we can transfer them to a successor as part of a reorganisation or sale.

These terms, together with the Privacy Policy, Cookies notice and Data Processing Agreement, form the whole agreement between us about Credbase.
